General Terms and Conditions (GTC)

for digital products

1. Provider

ZENTRYA – FZCO
Dubai, United Arab Emirates

(hereinafter referred to as "ZENTRYA" or "Provider")

2. Scope of Application

These General Terms and Conditions apply to all contracts between ZENTRYA and customers for the sale and provision of digital content, in particular:

digital repair manuals
technical instructions (PDF, video, online access)
software updates
digital databases and information services

Deviating terms and conditions of the customer shall not apply, unless ZENTRYA expressly agrees to their validity in writing.

3. Subject Matter of the Contract

The subject matter of the contract is the provision of digital content, which is made available to the customer either after receipt of payment:

for download or
activated online.

No delivery on a physical data carrier takes place.

4. Conclusion of Contract

The contract is concluded when the customer:

selects the desired digital products,
completes the order process and
successfully processes the payment.

By completing the order process, the customer makes a binding offer, which is accepted by the provision of the digital content.

5. Prices and Payment

All stated prices are final prices.
Payments are made via the payment methods offered in the shop.

Access to the digital content is only granted after full payment has been received.

6. No Right of Withdrawal for Digital Content

A right of withdrawal does not exist, as exclusively digital content is sold that is not delivered on a physical data carrier.

According to Art. 16 lit. m of the EU Consumer Rights Directive (2011/83/EU), the right of withdrawal expires as soon as:

the customer has expressly agreed that the performance of the contract begins before the expiry of the withdrawal period, and
the customer has confirmed that he thereby loses his right of withdrawal.

This consent is given within the scope of the ordering process.

7. Rights of Use

The customer receives a simple, non-transferable right of use to the acquired digital content, exclusively for personal use.

In particular, the following are not permitted:

Passing on to third parties
Reproduction or publication
Commercial use without express consent

8. Disclaimer

The digital content is created to the best of our knowledge and state of the art.
ZENTRYA assumes no liability for:

incorrect application of the content
damage to vehicles, equipment or software
economic damages or consequential damages

The use of the content is at your own risk.

9. Warranty

The statutory warranty rights apply exclusively in the context of digital content.
Technical deviations or further developments do not constitute a defect.

10. Availability

ZENTRYA strives to provide the digital content as uninterruptedly as possible.
There is no claim to permanent availability.

11. Data Protection

The processing of personal data is carried out in accordance with ZENTRYA's privacy policy and applicable data protection regulations.

12. Applicable Law

The law of the United Arab Emirates shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods, as far as legally permissible.
